Licence Agreement
This is the agreement between you and Vibhaga Group, a sole proprietorship of Umesh Yellaboina, 11-3-451, New Ashok Nagar, Parsigutta, Secunderabad, Hyderabad 500061, Telangana, India ("we", "us"), about your use of the Dictate Safe app ("the App"). By choosing "Agree and continue" in the App, or by installing or using it, you accept this agreement. If you do not accept it, do not use the App. Buying a licence and using the website are covered by our Terms of Service, which also form part of your agreement with us.
1. The short version
| Topic | What it says |
|---|---|
| What you get | A personal licence to use the App on up to 2 computers that you own or control, with the features sold on the day you buy and the updates and fixes to them that we release while we offer the App |
| What you may not do | Copy, resell, share your licence, take the App apart, get around licence checks or break the law with it |
| Your data | Stays on your computer. We do not receive it |
| Licence checks | The App checks in with our licence service from time to time. Section 5 explains |
| AI | Speech recognition and AI features can be wrong. Check what they produce |
| Refund | 30 days from purchase, full refund, no reason needed |
2. Who may use the App
You must be at least 18 and able to make a binding contract. If you accept this agreement for an organisation, you confirm that you can bind it. One licence is for one person. An organisation needs one licence for each person who uses the App.
3. Your licence
We grant you a personal, non-exclusive, non-transferable licence, which you may not sublicense, to install and use the App on up to 2 computers (Mac or Windows) that you own or control, for your own personal or business use, subject to this agreement. The licence lasts for the life of the product, as section 17 and the Terms of Service explain, unless it ends under section 16.
A licence is bought once. It covers the features that we sell on the day you buy it, which today include dictation, the prompt Library and task management, and the updates and fixes to those features that we release while we offer the App. It does not include new products or optional services that we sell separately. The Assistant is a Beta feature and is not part of what the licence covers: it may change or be withdrawn while it is a Beta.
If someone gave you a licence, you hold it and this agreement applies to you. The person who paid may take it back, and then the App stops accepting it on your computers.
The free dictations that come before you buy a licence are covered by the same terms, apart from the licence length.
4. What you may not do
You must not, and must not help anyone to:
- copy the App, except to install it and to make backup copies that the law allows;
- rent, lease, lend, sell, sublicense or distribute the App or your licence, or give your licence key or account to anyone outside the limits in section 3;
- modify the App, or take it apart, decompile or reverse engineer it, except where the law of your country says you may and then only as far as it allows, and only after asking us first for the information you need;
- remove or bypass the licence checks, the free-use limits or any notice in the App;
- use the App to break the law or the rights of others, or in a way our Acceptable Use Policy forbids;
- use the App to build a competing product;
- rely on the App as the only safeguard where its failure could cause injury or serious harm, for example in an emergency or a safety-critical setting.
The rights that the law gives to a lawful user of software that cannot be removed by contract stay with you.
5. Licence checks and how the App works online
The App works on your computer. It needs to contact our licence service when you sign in, activate a licence, sign out or renew. A licence certificate is valid for a limited time. While your computer is online, the App renews it from time to time without you doing anything. If the App cannot renew for a long time, it asks you to connect or sign in again before the certificate runs out. Until it can renew, you can use the free dictations that remain. "Offline Lock" in the App lets you block connections. It then allows one licence check if you permit it.
The App also contacts our website for the prompt Library, a free account and updates, and it can download AI model files when you ask. The Privacy Policy lists what these send.
If a licence is refunded, taken back or removed, it stops working on your computer when the App next checks. You agree not to use the App on the strength of a licence that has been refunded or taken back.
6. Computers and activation
A licence can be active on up to 2 computers at a time. You can free a computer from the App (sign out) or from your account, and activate another. We record a code and the name of each computer that you activate, to enforce this limit and to show you your devices.
7. Updates
The App can check for updates. It installs an update only when you agree. We may stop supporting older versions of macOS or Windows, and we may require an update where that is needed for security or to keep the App working with the licence service.
8. AI features, models and your responsibility for the output
The App includes speech recognition and optional AI features: cleanup of dictated text and the Assistant (a Beta feature). They run on your computer by default, using models that the App downloads on your request from third-party hosting services, under the licences of those models. The Open-source licences screen in the App lists the licences.
These features use statistical methods and make mistakes. They can mishear, add, drop or change words and facts. You are responsible for checking the text before you rely on it, send it or publish it. The Assistant is not a professional adviser. You are responsible for what you dictate, for where the App types it, and for the decisions you make using its output.
9. Cloud providers you choose
You can switch on cloud speech, cloud cleanup or a cloud Assistant engine by saving your own key. Then the App sends your audio or text straight from your computer to the provider you chose, under your agreement with that provider. We are not a party to that agreement, do not receive the data, do not control the provider and are not responsible for it. You pay the provider's charges. Check the provider's terms before you switch on. The Privacy Policy and the AI and Third-Party Services Notice explain what is sent.
10. Your data
Your recordings, transcripts, History, notes, snippets, vocabulary, prompts, tasks, goals and Assistant chats are stored on your computer. You own them and you are responsible for them, including backups, and for keeping any encryption key or recovery passphrase safe. If you lose both, nobody can open the data, including us. We may not be able to help you recover anything we never had.
11. Permissions on your computer
To work, the App asks your operating system for permissions, such as the microphone, Accessibility and Input Monitoring on macOS. It uses them to hear you, to type your dictation into the app you are using, to find out whether a text field is focused and to see the key you chose as your dictation key. You can withdraw any permission in your system settings. The App then loses the function that depends on it.
You are responsible for having the right to record any audio you dictate or import, including audio of other people, and for obeying laws on recording and on privacy.
12. Beta features and changes
Features marked Beta, including the Assistant, are provided as they are, may change or be removed and may contain faults. We may add, change or retire other features for the reasons in section 10 of the Terms of Service. We will not take a feature that your licence covers (section 3) and make it available only to subscribers. If we turn the whole product into a subscription, that applies to new customers only.
13. Open-source software and third-party components
The App includes open-source and other third-party software. Each part is governed by its own licence, which is shown in the App (Settings, About, Open-source licences) and on our open-source page. Those licences apply to that part, and nothing in this agreement limits your rights under them.
14. Our rights
We and our licensors own the App, its design, brand, logos and the prompt Library. This agreement gives you only the licence in section 3. You own the content you create. If you send us feedback or ideas, you give us a free, permanent right to use them. The Library is for your own use and may not be copied, resold or republished. Library content may come from third parties, and we do not promise that it is original or fits your purpose.
15. No promises beyond the law, and limits on liability
We supply the App with reasonable care and skill. Except as this agreement and the law say, we provide it "as is". We do not promise that it will be uninterrupted or error-free, that its output will be accurate, or that it will suit your purpose. Nothing in this agreement limits rights that the law gives you and that cannot be limited, including a right to software that matches its description and works as it should.
Sections 14 and 15 of the Terms of Service, which set out our promises and the limits on our liability, apply to this agreement as if repeated here. In short, nothing limits our liability for death or personal injury caused by our negligence, for fraud, or for anything that the law does not allow us to limit, and our total liability to you is limited to the amount you paid for the licence the claim relates to. We are not liable for loss of data on your computer or for indirect or consequential loss.
16. Ending this agreement
You can stop using the App at any time, uninstall it and sign out. You can ask for a refund within 30 days of purchase. If you ask us to delete your account, your licence ends with it, as the Terms of Service explain.
We may end your licence if you materially break this agreement, if you use the App fraudulently or illegally, or if the law requires. We will give you notice and a chance to put things right where that is reasonable. If we end it because you broke the agreement, you must stop using the App, and we owe you no refund unless the law says so. We do not end a licence for any other reason, except because the product ends under section 17.
When this agreement ends, you must stop using the App and delete it. Sections 4, 10, 14, 15, 16, 17, 19 and 20 continue.
17. If we stop selling the App
If we decide to stop selling Dictate Safe, we will give at least 3 months' notice by email and on our website. Licences you already own will carry on being activated and renewed after we stop selling, for as long as we run the licence service. Before we shut the licence service down, we will give at least 3 months' notice. After the shutdown we will release a final version of the App that keeps working on your computer for as long as your operating system supports it, and the notice will say how to get it.
18. Where you got the App
If you installed the App from the Microsoft Store, Microsoft handles the download under its own terms, and this agreement governs your use of the App. Microsoft is not a party to this agreement and has no duty to support the App. If you bought your licence through AppSumo, AppSumo's terms govern that purchase, and this agreement governs your use.
19. Export and sanctions
You must not use the App in breach of export control or sanctions laws, and you confirm that you are not on a list of persons restricted by them.
20. Law, disputes and general terms
This agreement is governed by the laws of India, and section 17 of the Terms of Service decides which courts or arbitrator hear a dispute, including the rights of consumers. These terms apply:
- Changes. We may update this agreement. When we do, the App asks you to accept the new version. If you do not accept it, you may stop using the App and ask for a refund within 30 days of our notice. Until you accept, the App may stop working. We keep every earlier version and you can ask us for a copy.
- Transfer. We may transfer this agreement to a company or person that takes over the business, for example a company that Umesh Yellaboina forms to run it. We will tell you. Your rights do not get worse. You may not transfer your licence except as the Terms of Service allow.
- Notices. We give notices to your account email and in the App. You give notice by email to legal@dictatesafe.com.
- Whole agreement. This agreement and the documents it names are the whole agreement about the App. If this agreement and the Terms of Service differ about the App, this agreement governs the App and the Terms govern the website and your purchase.
- If a part fails. If a court finds a part unenforceable, the rest stays in force.
- No waiver. If we do not enforce a term at once, we can enforce it later.
- Language. This agreement is in English.
